1. Introduction
These Terms and Conditions ("Terms") govern the access to and use of the B2B.Zone Events Procurement Platform (the "Platform"), operated by SASI Holding ("B2B.Zone", "we", "us", or "our"), a company registered in the Kingdom of Saudi Arabia.
By registering on the Platform, submitting a Request for Quotation (RFQ), issuing a Quote, or completing a Purchase Order (PO), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Platform.
These Terms apply to all account types on the Platform: Buyers, Suppliers, Hybrid accounts, and Admins.
2. Definitions
• "Platform" means the B2B.Zone events procurement digital platform, including all web and mobile interfaces.
• "Buyer" means a registered business entity that uses the Platform to source services through the RFQ process.
• "Supplier" means a verified business entity registered on the Platform to offer event services across one or more service tiers.
• "Hybrid Account" means an account that operates as both a Buyer and a Supplier on the Platform.
• "RFQ" means a Request for Quotation submitted by a Buyer to one or more Suppliers for event-related services.
• "Quote" means a formal response submitted by a Supplier in response to a Buyer's RFQ, specifying scope, pricing, and terms.
• "Purchase Order (PO)" means the binding procurement document issued by a Buyer upon acceptance of a Supplier's Quote.
• "Service Tier" means one of eight categories of event services offered on the Platform: T1 Event Producers, T2 Venues, T3 Creative and Production, T4 Entertainment, T5 Food and Beverage, T6 Technology, T7 Logistics, and T8 Specialized Services.
• "CR" means a valid Saudi Commercial Registration certificate.
• "ZATCA" means the Zakat, Tax, and Customs Authority of the Kingdom of Saudi Arabia.
3. Eligibility and Registration
The Platform is exclusively available to registered businesses operating in the Kingdom of Saudi Arabia. Individual consumers are not permitted to register.
3.1 Registration Requirements
• All accounts must be registered under a valid, active Saudi Commercial Registration (CR) number.
• VAT registration number must be provided where applicable under ZATCA regulations.
• A verified National Address must be supplied at registration.
• The authorized signatory registering the account must have legal authority to bind the company.
• B2B.Zone reserves the right to reject or suspend any account that fails to meet verification requirements.
3.2 Account Accuracy
• You are responsible for ensuring all account information is accurate, current, and complete.
• Any changes to your CR, VAT, address, or authorized signatory must be updated on the Platform within 7 business days.
• B2B.Zone is not liable for losses arising from outdated or inaccurate account information.
4. Platform Services
B2B.Zone provides a neutral, technology-enabled procurement environment for the events sector. The Platform facilitates the connection between Buyers and Suppliers but is not a party to any transaction or contract formed between them, except where explicitly stated.
4.1 Service Tiers
Suppliers are onboarded under one or more of the following eight service tiers:
• T1 - Event Producers: End-to-end event management and production
• T2 - Venues: Event spaces, ballrooms, outdoor facilities, and conference centers
• T3 - Creative and Production: Stage design, AV equipment, lighting, décor, and theming
• T4 - Entertainment: Performers, artists, DJs, speakers, and experiential activations
• T5 - Food and Beverage: Catering, beverage service, and hospitality operators
• T6 - Technology: Event apps, ticketing systems, live streaming, and digital signage
• T7 - Logistics: Transportation, rigging, equipment rental, staffing, and setup
• T8 - Specialized Services: Security, medical, translation, photography, and niche support
4.2 RFQ Process
• Buyers may submit RFQs specifying event requirements, budget ranges, dates, and scope.
• RFQs are visible to relevant Suppliers within the nominated service tier(s).
• B2B.Zone does not guarantee a minimum number of Supplier responses to any RFQ.
• Buyers may withdraw an RFQ before a Quote has been accepted, provided no PO has been issued.
4.3 Quoting and PO Issuance
• Suppliers must submit Quotes in good faith, with accurate pricing, scope, and availability.
• A Quote is not binding until accepted by the Buyer and a Purchase Order is issued.
• Upon PO issuance, a binding agreement is formed between the Buyer and the Supplier.
• B2B.Zone may facilitate but is not a party to the PO agreement.
5. Supplier Obligations
• Suppliers must maintain an active, valid Saudi CR and VAT registration throughout their tenure on the Platform.
• All services offered must comply with applicable Saudi laws, Vision 2030 requirements, and relevant sector regulations.
• Suppliers must respond to RFQs within the timeframe specified by the Buyer or within 5 business days, whichever is shorter.
• Quotes must reflect true and accurate pricing. Hidden fees, post-PO surcharges, or material scope changes are prohibited.
• Suppliers must fulfil accepted Purchase Orders on time, to the agreed scope, and to a professional standard.
• Any inability to fulfil a PO must be communicated to B2B.Zone and the Buyer immediately.
• Suppliers must comply with IKTVA local content requirements where applicable.
• Suppliers must issue ZATCA Phase 2-compliant e-invoices for all completed transactions.
• Suppliers must not solicit Buyers for off-platform transactions.
6. Buyer Obligations
• Buyers must submit RFQs in good faith with accurate event details, scope, and timelines.
• Buyers must not misrepresent budget, attendance, or requirements in order to obtain lower Quotes.
• Upon issuing a PO, Buyers are committed to fulfilling the agreed payment terms.
• Buyers must make payment within the timeframe specified in the accepted Quote and PO.
• Buyers must not approach Suppliers for off-platform transactions introduced through B2B.Zone.
• Buyers are responsible for obtaining any required event permits, approvals, or licenses from Saudi authorities.
7. Payments and Invoicing
7.1 Payment Terms
• Payment is collected by B2B.Zone at the time of PO confirmation, unless otherwise agreed in writing.
• All amounts are denominated in Saudi Riyal (SAR) and include 15% VAT.
• Payment methods accepted include mada, Visa, Mastercard.
• B2B.Zone uses Moyasar as its payment gateway. All transactions are subject to Moyasar's processing terms.
7.2 Supplier Disbursement
• Funds collected from Buyers are held by B2B.Zone and disbursed to Suppliers per the payment schedule agreed at onboarding.
• B2B.Zone deducts any applicable platform fees prior to disbursement.
• Disbursements are made to the Supplier's registered Saudi Riyal bank account only.
7.3 Invoicing
• ZATCA Phase 2-compliant e-invoices are issued for all completed transactions.
• Buyers requiring specific invoice formats must notify B2B.Zone prior to PO confirmation.
• Invoices are delivered electronically to the registered account email address.
8. Cancellations, Amendments, and Refunds
8.1 Buyer Cancellations
• Cancellations made more than 30 days before the event date: full refund minus applicable platform processing fees.
• Cancellations made 15 to 30 days before the event date: 50% refund, subject to Supplier agreement.
• Cancellations made fewer than 15 days before the event date: no refund unless the Supplier agrees in writing.
• All cancellation requests must be submitted through the Platform.
8.2 Supplier Cancellations
• Suppliers who cancel a confirmed PO without a valid force majeure reason are subject to account suspension and may be liable to the Buyer for costs incurred.
• B2B.Zone will facilitate finding an alternative Supplier where possible; however, this is not guaranteed.
8.3 Amendments
• Amendments to a confirmed PO require written agreement from both Buyer and Supplier.
• Price amendments after PO issuance are not permitted unless arising from a mutually agreed change in scope.
8.4 Force Majeure
• Neither party is liable for failure to perform due to events beyond reasonable control, including acts of God, government restrictions, war, or public health emergencies.
• The affected party must notify the other party via the Platform within 48 hours of the force majeure event.
9. Supplier Verification and Quality
• All Suppliers undergo CR verification before being approved on the Platform.
• B2B.Zone reserves the right to request additional documentation, certifications, or references from any Supplier at any time.
• Supplier profiles are subject to periodic review. Inactive, non-compliant, or underperforming Suppliers may be suspended or removed.
• B2B.Zone does not guarantee the quality of services delivered by any Supplier. Buyers are encouraged to review Supplier profiles, ratings, and past work before issuing a PO.
• Buyer ratings and feedback submitted after event completion are used to maintain platform quality standards.
10. Prohibited Conduct
The following are strictly prohibited and may result in immediate account suspension and legal action:
• Providing false, misleading, or fraudulent information during registration or on the Platform.
• Circumventing the Platform to transact directly with Buyers or Suppliers introduced through B2B.Zone.
• Submitting fake RFQs, Quotes, or reviews.
• Using the Platform for any unlawful purpose under Saudi law.
• Attempting to hack, scrape, reverse-engineer, or disrupt the Platform.
• Harassment, discrimination, or abusive conduct toward other Platform users.
• Sharing account credentials with unauthorized third parties.
11. Intellectual Property
• All content, branding, software, and materials on the Platform are the intellectual property of B2B.Zone / SASI Holding or its licensors.
• Suppliers grant B2B.Zone a non-exclusive license to display their profile content, images, and service descriptions on the Platform for marketing and procurement purposes.
• Users may not reproduce, distribute, or commercialize any Platform content without prior written consent from B2B.Zone.
12. Data Protection and Privacy
• B2B.Zone processes personal and business data in compliance with the Saudi Personal Data Protection Law (PDPL).
• All data is stored on GCP infrastructure in the Dammam region (Saudi Arabia) to meet data residency requirements.
• Business data shared on the Platform (CR, VAT, National Address) is used solely for procurement, compliance, and invoicing purposes.
• B2B.Zone does not sell user data to third parties.
• Users may request access to, correction of, or deletion of their data by contacting support@b2b.zone.
• By using the Platform, you consent to the collection and use of data as described in B2B.Zone's Privacy Policy.
13. Limitation of Liability
• B2B.Zone acts as a technology platform facilitating procurement. It is not liable for the quality, safety, legality, or delivery of services provided by Suppliers.
• B2B.Zone's total liability to any user for any claim arising from Platform use shall not exceed the total platform fees paid by that user in the 3 months preceding the claim.
• B2B.Zone is not liable for indirect, consequential, or punitive damages, including loss of profit, business interruption, or reputational harm.
• B2B.Zone makes no warranty that the Platform will be uninterrupted, error-free, or free from security vulnerabilities at all times.
14. Account Termination and Suspension
• B2B.Zone reserves the right to suspend or terminate any account at its discretion for breach of these Terms, fraudulent activity, or conduct harmful to the Platform or its users.
• Users may close their account at any time by submitting a written request to support@b2b.zone, provided there are no outstanding POs, disputes, or payment obligations.
• Upon termination, all outstanding amounts owed to B2B.Zone become immediately due and payable.
• Termination does not affect rights or obligations arising from POs completed prior to termination.
15. Dispute Resolution
15.1 Between Buyers and Suppliers
• B2B.Zone provides a mediation channel for disputes between Buyers and Suppliers arising from POs.
• Disputes must be submitted through the Platform within 14 days of the event completion date.
• B2B.Zone will review submitted evidence and issue a non-binding recommendation within 10 business days.
• B2B.Zone's decision may be accepted by both parties or escalated to formal legal proceedings.
15.2 Against B2B.Zone
• Any claim against B2B.Zone must first be submitted in writing to legal@b2b.zone.
• B2B.Zone will respond within 15 business days.
• Unresolved disputes shall be subject to the exclusive jurisdiction of the courts of the Kingdom of Saudi Arabia, under Saudi law.
16. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia. Any disputes arising from or relating to these Terms or the use of the Platform shall be subject to the exclusive jurisdiction of the competent courts in Riyadh, Saudi Arabia.
17. Amendments to These Terms
B2B.Zone reserves the right to update or amend these Terms at any time. Users will be notified of material changes via the registered email address or a prominent notice on the Platform. Continued use of the Platform following notification constitutes acceptance of the updated Terms. It is the responsibility of users to review these Terms periodically.
